The Senior Director, Associate General Counsel will join a team responsible for providing legal advice and strategic guidance for TIAA's growing Digital & Client Experience (D&CX) area, which includes teams responsible for developing and delivering financial advice solutions for retirement plan contributions and holistic financial wellness, an enhanced digital client experience and design, and data analytics and insights across the enterprise. This role would focus primarily on legal support for the development and distribution of digital financial advice, educational tools, and other financial wellness solutions that will aim to help millions more Americans secure their futures in retirement. The attorney will engage with business partners, technology teams and FinTech service providers and ensure that the D&CX strategy is driven in accordance with all relevant laws, and regulations, including those enforced by FINRA, the SEC, DOL and NYSDFS and other state insurance regulators.

Key Responsibilities and Duties

• Provide legal advice and guidance to senior management and other business partners to help achieve and advance business objectives, including support for all aspects of the digital experience, financial advice, educational tools and calculators, financial wellness solutions, data analytics, and client experience initiatives.

• Identify and analyze legal issues and effectively communicate with business partners and other stakeholders, including providing clear and concise summaries of legal positions and recommendations for, among other things, compliance with regulation best Interest and other regulations applicable to providing financial advice and education regarding retirement investments, including annuities.

• Manage all legal aspects of the development of new solutions and third-party business relationships, including legal advice on the structure and offering of the solution and/or transaction under applicable laws.

• Draft and negotiate key agreements and vendor contracts.

• Perform legal reviews for marketing and client communications.

• Collaborate with TIAA's Investment Adviser and Broker-Dealer, Privacy, ERISA, Insurance, Marketing, Compliance and Risk teams, and other key partners supporting D&CX, on new laws and regulatory developments, including those applicable to digital advice, educational tools and other financial wellness solutions.

• Advise on governance processes.

• Effectively manage outside counsel.

• Handle other day-to-day legal issues arising in a growing and complex business.

Qualifications:

Required Qualifications:

• 5 years of experience as counsel in a major law firm or in-house legal department, with in-depth knowledge of the investment adviser and broker-dealer laws, rules and regulations governing the offering of digital advice and financial wellness solutions.

Preferred Qualifications:

• 7 + years of experience in broker-dealer and investment advisory related legal work for a major law firm or in-house legal department supporting client-facing digital tools and client experiences, financial advice and education, and financial wellness solutions.

• In-depth knowledge of legal issues and requirements impacting broker-dealers and registered investment advisers with respect to the offer of digital solutions for all financial advice and wellness needs.

• Knowledge of ERISA (fiduciary advice and plan data matters), insurance (annuities), and/or the retirement industry is strongly preferred.

• General understanding of privacy, information security, and related requirements.

• Doctoral Degree Law Required and member in good standing of State Bar.

• Strong communication and writing skills.

• Strong interpersonal skills.

Base Pay Range: $179,700/yr. - $299,400/yr.

Actual base salary may vary based upon, but not limited to, relevant experience, time in role, base salary of internal peers, prior performance, business sector, and geographic location. In addition to base salary, the competitive compensation package may include, depending on the role, participation in an incentive program linked to performance (for example, annual discretionary incentive programs, non-annual sales incentive plans, or other non-annual incentive plans).
